Important information about Broyhill Asset Management investment partnerships

Offerings of interests in private investment vehicles managed by Broyhill Asset Management are made only by delivery of a confidential offering memorandum and subscription materials. Such offers are made only to investors who meet certain statutory and/or regulatory criteria. These criteria vary depending on the investment vehicle and the jurisdiction of the prospective investor. For example, most of our private investment vehicles require that investors be "qualified purchasers," meaning institutions with at least $25 million of investments or individuals with at least $5 million of investments. In addition, these private vehicles typically have investment minimums. No such interests have been registered under the U.S. securities laws and have not been registered under the securities laws of any state or foreign country. Before providing information to any person regarding such private investment vehicles, Broyhill Asset Management will need to ensure that such institution or person satisfies the relevant criteria. Satisfaction of such criteria will not guarantee that an offer to purchase an interest in a private investment vehicle will be made or that any information will be made available.
